Board Manual

The Board Manual as one of the pillars of Good Corporate Governance (GCG) is prepared based on the principles of a limited liability company that refers to the Articles of Association, internal policies, applicable laws and regulations and good corporate practices.

 

The Board Manual is prepared with the intention of being a guideline for the Board of Directors in managing the Company and for the Board of Commissioners in supervising the Company by implementing GCG principles in accordance with applicable laws and regulations while still prioritizing the principle of prudence and explaining the standard relationship pattern between the Board of Directors and the Board of Commissioners in carrying out their duties, in order to create transparent, accountable, responsible, independent and fair management of the Company, while upholding integrity and honesty in carrying out the Company's business activities.

 

The purpose of preparing the Board Manual is to:

  1. Build a management and supervision mechanism for the Company that refers to applicable laws and regulations, the Articles of Association, GCG principles and business ethics;
  2. Develop the best standards of behavior for members of the Board of Directors and Board of Commissioners to encourage the creation of the expected Company culture, which will directly or indirectly increase the value of the Company;
  3. Encourage optimization of the implementation of the functions, duties and authorities of each Board of Directors and Board of Commissioners in order to improve performance so that it becomes more productive, effective and efficient;
  4. Create a healthy and comfortable working atmosphere within the Company's environment and minimize the opportunity for deviations;
  5. Implementation of the Company's culture and code of conduct, as well as GCG principles which are the basis for implementing valuestorealize the Company's vision, mission and objectives.

 

Previously, the Company has also issued a Board of Directors Charter (BoD Charter), which consolidates and establishes guidelines including, among others, standards of behavior (code of conduct), business ethics, corporate culture, descriptions of the roles and responsibilities of the Directors, as well as the decision-making mechanisms of the Board of Directors in managing the company. The issuance of the BoD Charter aims to achieve professional, efficient, and harmonious management of the company.
